  1. Acceptance of Terms

By accessing or using QMS, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service. These Terms apply to all users including administrators, tenants, and visitors.

  1. Description of Service

QMS provides a multi-tenant SaaS platform for WhatsApp Business marketing, automation, and customer communication. Features include:

  1. WhatsApp campaign management and bulk messaging
  2. Chatbot and automation flows
  3. Contact management
  4. Template management
  5. Live chat and customer support tools
  6. Analytics and reporting
  7. Account Registration

3.1 Eligibility You must be at least 18 years old and capable of forming a binding contract to use the Service.

3.2 Account Responsibilities

  1. You are responsible for maintaining the confidentiality of your login credentials
  2. You are responsible for all activity that occurs under your account
  3. You must provide accurate and complete registration information
  4. You must notify us immediately of any unauthorized account access

3.3 Account Termination We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

  1. Subscription and Billing

4.1 Plans QMS offers various subscription plans. Features and limits vary by plan as described on our pricing page.

4.2 Payment

  1. Payments are processed securely through third-party payment processors
  2. Subscriptions are billed in advance on a monthly or annual basis
  3. All fees are non-refundable unless otherwise stated

4.3 Renewals Subscriptions automatically renew unless cancelled before the renewal date. You will be notified before renewal.

4.4 Price Changes We reserve the right to modify pricing with 30 days prior notice. Continued use after price changes constitutes acceptance.

4.5 Refunds Refund requests are evaluated on a case-by-case basis. Contact support@qms.sd within 7 days of billing.

  1. Acceptable Use Policy

5.1 Permitted Use You may use QMS only for lawful business communication purposes in compliance with WhatsApp Business Policy, Meta Platform Terms, and all applicable laws.

5.2 Prohibited Use You must NOT use QMS to:

  1. Send spam, unsolicited, or deceptive messages
  2. Harass, abuse, or threaten any individual
  3. Send content that is illegal, offensive, or violates any third-party rights
  4. Distribute malware, viruses, or harmful code
  5. Impersonate any person or organization
  6. Violate WhatsApp messaging policies or rate limits
  7. Collect user data without proper consent
  8. Send messages to users who have opted out

5.3 Consequences Violation of this policy may result in immediate account suspension without refund and reporting to relevant authorities.

  1. WhatsApp and Meta Compliance

By using QMS you agree to comply with:

  1. WhatsApp Business Policy
  2. Meta Platform Terms
  3. WhatsApp Commerce Policy

You are solely responsible for obtaining proper opt-in consent from your contacts before sending messages through QMS.

  1. Opt-In and Consent Requirements

You must:

  1. Obtain explicit opt-in consent from all recipients before messaging them
  2. Maintain records of consent
  3. Honor all opt-out requests immediately
  4. Never import contacts who have not consented to receive WhatsApp messages
  5. Intellectual Property

8.1 Our Property QMS, its logo, design, software, and content are owned by QMS and protected by intellectual property laws. You may not copy, modify, or distribute any part of the platform without written permission.

8.2 Your Content You retain ownership of content you create on QMS. By uploading content, you grant QMS a limited license to use it solely to provide the Service.

  1. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  1. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We are not liable for:

  1. Scheduled maintenance downtime
  2. Service disruptions caused by Meta or WhatsApp infrastructure
  3. Force majeure events
  4. Third-party service failures
  5. Limitation of Liability
  6. QMS shall not be liable for any indirect, incidental, special, or consequential damages
  7. Our total liability shall not exceed the amount you paid in the 3 months preceding the claim
  8. We are not responsible for any loss of data, revenue, or business opportunity
  9. Indemnification

You agree to indemnify and hold harmless QMS from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, violation of any third-party rights, or content you send through the platform.

  1. Modifications to Service

We reserve the right to modify or discontinue any feature, update these Terms, and change pricing with appropriate notice to registered users.

  1. Governing Law

These Terms are governed by the laws of the Republic of Sudan. Any disputes shall be resolved in the courts of Sudan unless otherwise agreed in writing.

  1. Dispute Resolution

In case of any dispute:

  1. Contact us first at support@qms.sd to resolve informally
  2. If unresolved within 30 days, disputes shall be submitted to binding arbitration
  3. Class action lawsuits are waived to the extent permitted by law
  4. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

  1. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QMS regarding the Service.
